1. Acceptance of Terms

Welcome to WatchLocal.ai ("Service"), operated by WatchLocal.ai ("Company," "we," "us," or "our"). By accessing or using the Service at watchlocal.ai, including our Intake, Access Connect, Photo/Video Drop, Job Complete, and Content Preview features, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

WatchLocal.ai is an AI-powered local business visibility management platform. We perform 70 optimization actions across 10 visibility pillars to get your business found everywhere your customers look — across search engines, AI-powered search tools, review sites, directories, social media, and local platforms.

Our services include:

• Intake and Onboarding: Collecting your business information to set up and configure your accounts.
• Access Connect: Securely connecting your accounts on Google, Meta, and other platforms so our AI agents can manage your presence.
• Active Profile Management: Creating, updating, and optimizing your business listings, posts, photos, and content across connected platforms.
• Visibility Monitoring: Scanning 80+ online platforms to track your business visibility, generate scores, and produce audit reports.
• Content Creation and Publishing: Generating and posting optimized content to your connected platforms.
• Photo and Video Management: Distributing your uploaded media across your business profiles.
• Ongoing Optimization: Continuously improving your local search presence, schema markup, citation consistency, and review engagement.

3. Eligibility

You must be at least 18 years of age and authorized to act on behalf of the business being managed to use the Service. By creating an account or completing our Intake form, you represent that you have the legal authority to grant WatchLocal.ai access to the business accounts you connect, and that the information you provide is accurate and complete.

4. Account Authorization and Platform Access

4a. Granting Access

Our service requires you to connect business accounts on third-party platforms (such as Google Business Profile, Google Analytics, Meta/Facebook, Google Search Console, and others) through our Access Connect feature. By connecting these accounts, you expressly authorize WatchLocal.ai and its AI agents to:

• Access, read, and modify your business profile information on connected platforms.
• Create, edit, publish, and delete posts, photos, and content on your behalf.
• View analytics, performance data, and engagement metrics.
• Respond to or flag customer reviews for your review.
• Configure technical settings such as tracking tags, schema markup, and SEO elements.

4b. Your Responsibilities

You are responsible for ensuring that you have the legal right to grant us access to each account you connect. If you are connecting accounts owned by a business entity, you represent that you are authorized by that entity to grant this access. You agree to notify us immediately if your authorization changes or if you become aware of unauthorized access to any connected account.

4c. Revoking Access

You may revoke WatchLocal.ai's access to any platform at any time through that platform's security or permissions settings. You may also contact us to disconnect any or all platforms. Upon revocation, we will cease all activity on that platform within 24 hours. Note that revoking access may limit or prevent us from delivering certain services.

5. AI-Powered Services

How our AI works: Our AI agents analyze your business information, connected platform data, and market conditions to generate optimized content, identify visibility gaps, and take management actions across your profiles. These agents operate under defined rules and human oversight.

Human oversight: All significant actions — including content publication, profile changes, and new platform setups — are subject to review by our team before execution. Routine optimizations (such as updating business hours or correcting inconsistent information) may be performed automatically when they match pre-approved action categories.

No guarantees of accuracy: While we strive for high accuracy, AI-generated content and recommendations may occasionally contain errors, inaccuracies, or information that does not reflect your preferences. You are encouraged to review content posted to your profiles through our Content Preview feature and notify us promptly of any issues.

Your responsibility: You acknowledge that you are the business owner or authorized representative, and that you bear ultimate responsibility for the content that appears on your business profiles, even when created or posted by our AI agents on your behalf. If applicable laws or regulations require disclosure that content was generated with AI assistance, you are responsible for making that disclosure.

6. Your Content and Intellectual Property

6a. Your Content

You retain full ownership of all photos, videos, text, and other content you provide to WatchLocal.ai through our Photo/Video Drop or other features. By uploading content, you grant WatchLocal.ai a non-exclusive, worldwide license to use, display, reproduce, and distribute that content solely for the purpose of managing your local business visibility across your connected platforms.

6b. AI-Generated Content

Content created by our AI agents on your behalf (such as business descriptions, social media posts, and profile optimizations) is provided for your use and becomes part of your business profiles. You may use, modify, or remove this content as you see fit.

6c. Our Intellectual Property

The WatchLocal.ai platform — including its design, code, AI models, scanning methodology, scoring algorithms, and agent architecture — is the intellectual property of WatchLocal.ai. You may not copy, reverse-engineer, decompile, or redistribute any part of our technology. Reports, audits, and dashboards generated for your business are yours to use for your own business purposes.

6d. Aggregated Data

We may use aggregated, anonymized data derived from our services (which cannot identify your specific business) to improve our platform, develop benchmarks, and enhance our AI models. This data is never attributable to you.

7. Third-Party Platforms

WatchLocal.ai integrates with third-party platforms including Google, Meta/Facebook, Yelp, Nextdoor, and others. Each of these platforms has its own terms of service, and your use of those platforms through WatchLocal is subject to their respective terms. We are not responsible for changes to third-party platform policies, API availability, or actions taken by those platforms regarding your account.

You agree to comply with the terms of service of each platform you connect through our service. If a third-party platform suspends or terminates your access, we cannot guarantee restoration of that access and are not liable for any resulting service disruption.

8. Business Information Accuracy

You agree to provide accurate, current, and complete business information during Intake and throughout our engagement. Our AI agents rely on this information to manage your profiles — inaccurate information leads to inaccurate listings, which can harm your visibility and reputation. You agree to promptly inform us of any changes to your business name, address, phone number, hours, or other critical details.

9. Service and Pricing

WatchLocal.ai's pricing, features, and service tiers are presented during onboarding and may be updated from time to time. We will provide at least 30 days' notice before any pricing changes take effect on your account. You may cancel your subscription at any time by contacting us. Cancellation takes effect at the end of your current billing period.

10. Acceptable Use

You agree not to:

• Use the Service to manage businesses you do not own or are not authorized to represent.
• Provide false, misleading, or deceptive business information.
• Upload content that infringes on any third party's intellectual property rights.
• Attempt to reverse-engineer, decompile, or gain unauthorized access to our systems.
• Use our reports or data to mislead consumers or misrepresent your business.
• Violate any applicable law, regulation, or third-party platform terms of service.
• Use the Service for any business engaged in illegal activities.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee specific search rankings, review scores, visibility improvements, or business outcomes. Local search visibility depends on many factors beyond our control, including platform algorithms, competitor activity, market conditions, and your business operations.

We do not guarantee that AI-generated content will be error-free, fully accurate, or suitable for every context. While we review content before publication, we recommend that you also review content posted to your profiles.

12. Limitation of Liability

To the maximum extent permitted by law, WatchLocal.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of business, revenue, data, or reputation.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total fees you have paid to WatchLocal.ai in the twelve (12) months immediately preceding the event giving rise to the claim.

This limitation of liability is an essential element of our pricing and forms the basis of the bargain between you and WatchLocal.ai.

13. Indemnification

You agree to indemnify and hold harmless WatchLocal.ai, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your breach of these Terms; (b) your violation of any applicable law or third-party right; (c) content you provide that infringes on third-party rights; or (d) your misrepresentation of your authority to connect platform accounts.

14. Account Termination

We may suspend or terminate your account if we reasonably believe you have violated these Terms or engaged in conduct that could harm WatchLocal.ai, other clients, or third-party platforms. We will provide notice before termination except in cases of severe or repeated violations.

You may cancel your account at any time by contacting us at david@watchlocal.ai. Upon termination:

• We will revoke all platform access tokens within 7 days.
• We will cease all activity on your connected platforms within 24 hours.
• Your data will be retained for 30 days, then deleted unless you request earlier deletion.
• You will retain access to any reports or content already delivered to you.

15. Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Collin County, Texas.

16. Modifications to Terms

We may update these Terms as our services evolve. We will notify clients of material changes by email at least 14 days before they take effect. The "Last Updated" date at the top of this page reflects the most recent revision. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any legal proceedings shall be brought in the state or federal courts located in Collin County, Texas.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and WatchLocal.ai regarding the Service and supersede all prior agreements or communications.

20. SMS & Text Messaging Program (A2P)

WatchLocal.ai operates an SMS text-messaging program on behalf of itself and the local businesses it serves. The program sends service-related messages — most commonly a review request after a business has completed a job for you.

• How you opt in: You provide your mobile number directly to a participating business at the time of service (as part of your job record) and agree to be contacted about that service. We do not purchase, rent, or buy phone numbers.
• Message frequency: Recurring but low — typically one review-request message after a completed service, with at most an occasional follow-up.
• Message and data rates may apply. Such rates are charged by your mobile carrier and are your responsibility.
• To opt out, reply STOP to any message at any time. You will receive one confirmation and then no further messages.

• Carriers are not liable for delayed or undelivered messages.
• Mobile opt-in information and SMS consent are never sold or shared with third parties or affiliates for their marketing purposes — see our Privacy Policy.
